Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the APIShare API marketplace and tunneling service operated by SamAI Group ("we", "us", "our") at https://apishare.cc. By creating an account, generating an API key, or using any part of the service, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use the service.

2. Eligibility

You must be at least 13 years old (or 16 in the EU) to create an APIShare account. By using the service, you represent that you meet this age requirement and are legally able to form a binding contract.

3. Service Description

APIShare is a global API marketplace that allows:

• Consumers to discover and call free or paid AI APIs (LLM, image, audio, embedding) via a unified OpenAI-compatible interface
• Providers to expose their local API services to the public internet via the apishare-tunnel pip package
• Free LLM API rankings — curated directory of free AI API providers (Groq, Gemini, Mistral, etc.)
• Recharge and earnings — PayPal recharge for consumers, 90% revenue share for providers

4. Your Account

• You must provide a valid email address for account registration.
• You are responsible for maintaining the confidentiality of your password, API keys, and agent tokens.
• You are responsible for all activities that occur under your account, including API calls made with your credentials.
• You must notify us immediately of any unauthorized use of your account or leaked API keys.
• One person may maintain at most one free account. Multiple accounts for the same person require written approval.

5. Acceptable Use

You agree to use APIShare only for lawful purposes. You must NOT use the service to:

• Call APIs to generate content that is illegal in Singapore or your jurisdiction (hate speech, child exploitation, terrorism, etc.)
• Distribute malware, ransomware, phishing content, or other malicious payloads via API responses
• Scrape or systematically download API responses for resale without a partnership agreement
• Reverse-engineer, decompile, or attempt to extract source code from the platform
• Use multiple accounts to bypass rate limits or free-tier quotas
• Expose your API key publicly (e.g., in client-side JavaScript) — leaked keys will be revoked immediately
• Resell access to APIShare APIs without a partnership agreement
• As a provider, tunnel content that violates applicable law or third-party rights
• Manipulate the free LLM API rankings or reviews through fake accounts

6. API Calls and Content

• You retain full ownership of content sent through API calls (prompts, files, etc.).
• You grant us a limited, non-exclusive license to route your requests to upstream providers.
• You are responsible for the legality of content you send through APIs.
• Upstream providers may have their own terms; you must comply with them.

7. Provider Obligations

If you register as a provider and expose APIs via the apishare-tunnel package:

• You must own or have rights to the API service you expose
• You are responsible for the availability, correctness, and legality of your API responses
• You will receive 90% of the revenue from API calls to your models (10% platform fee)
• Earnings are paid out via the configured PayPal/Metamask wallet when balance exceeds $10 USD
• You must not artificially inflate your earnings through fake calls (we monitor for click-fraud)
• You must respond to consumer reviews appropriately; abusive responses may lead to account suspension

8. Rate Limits and Quotas

• Free tier: 100 API calls per day per user (aggregated across all APIs)
• Paid (recharged): Configurable, subject to fair use policy
• Provider tunnels: 5 concurrent tunnels per provider account, 100 Mbps aggregate
• Exceeding rate limits may result in temporary throttling (HTTP 429)
• We may adjust quotas with 14 days' notice via email or in-app notification

9. Payments and Refunds

• Recharges are processed via PayPal in USD
• Refunds are available within 7 days for unused balances, no questions asked
• After 7 days, refunds are reviewed case-by-case (email billing@samai.cc)
• Provider payouts are processed within 7 business days after withdrawal request
• Chargeback fraud will result in immediate account termination

10. Intellectual Property

The APIShare platform, including its server software, design, trademarks, logos, and documentation, is the property of SamAI Group and protected by intellectual property laws.

You may not:

• Use our trademarks, logos, or branding without prior written consent
• Copy or redistribute our server software without written permission
• Remove or alter any copyright or proprietary notices
• Scrape the free LLM API rankings for redistribution

The apishare-tunnel client package on PyPI is licensed under the MIT License.

11. Disclaimers

The service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• That upstream API providers will be available or return correct results
• That free-tier APIs will remain free indefinitely
• That provider tunnels will be reachable from all networks

We do not guarantee the accuracy, completeness, or timeliness of API responses from third-party providers.

12. Limitation of Liability

To the maximum extent permitted by law:

• SAMAI GROUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM API DOWNTIME, INCORRECT API RESPONSES, OR UNAUTHORIZED ACCESS TO YOUR ACCOUNT.
• Our total aggregate liability for any claim arising from these Terms shall not exceed the amount you paid us in the past 12 months, or USD $50, whichever is greater.
• We are not liable for the actions or omissions of upstream API providers.

13. Indemnification

You agree to indemnify and hold harmless SamAI Group from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your violation of applicable law or third-party rights, or content you send through API calls.

14. Account Termination

You may delete your account at any time from the dashboard. We may suspend or terminate your account if:

• You violate these Terms (especially acceptable use rules)
• Your account is inactive for more than 12 months
• Required by law enforcement or court order
• Your API usage generates excessive abuse reports or chargebacks

Upon termination, unused wallet balance is refunded within 30 days (minus transaction fees). Provider earnings pending payout are processed within 60 days.

15. Service Changes and Discontinuation

We may modify, suspend, or discontinue any part of the service at any time. For material changes, we will provide at least 30 days' notice via email or in-app notification. We are not liable for any modification, suspension, or discontinuance of the service.

16. Governing Law

These Terms are governed by the laws of the Republic of Singapore. Any disputes arising from these Terms shall be submitted to the exclusive jurisdiction of the courts of Singapore.

17. Dispute Resolution

Before filing a lawsuit, both parties agree to attempt good-faith negotiation for 30 days. If unresolved, disputes shall be submitted to confidential arbitration in Singapore under the rules of the Singapore International Arbitration Centre (SIAC).

18. Changes to These Terms

We may update these Terms from time to time. We will notify users of material changes via in-app notification and email at least 14 days before the effective date. Continued use after the effective date constitutes acceptance of the updated Terms.

19. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
